How use of Cognilist is governed

These terms cover use of the Cognilist website, demo app, evaluation access, and any Cognilist service used without a separate signed commercial agreement.

Cognilist Ltd ("Cognilist", "we", "us", "our") provides an API-first service for matching natural-language shopping list items to scanned or selected products, and tools for turning images into structured shopping lists.

These Terms of Service apply when you visit cognilist.ai, contact us, use the Cognilist demo app, access a pilot or evaluation environment, or otherwise use Cognilist where no separate written agreement applies. If you or your organisation have signed a master services agreement, pilot agreement, order form or other written contract with Cognilist, that agreement will control to the extent of any conflict with these terms. Our Privacy Policy explains how we handle personal data.

1. Acceptance and authority

By accessing or using Cognilist under these terms, you agree to be bound by them. If you use Cognilist on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and "you" includes that organisation.

2. Intended users and scope

Cognilist is a B2B service intended for retailers, technology partners, prospective customers and other business users evaluating or deploying shopping-list matching functionality. The website and demo app are not consumer subscription services and are not directed to children.

You must use Cognilist only in compliance with applicable law and only for legitimate business, evaluation or integration purposes.

3. Demo app and evaluation use

The Cognilist demo app and any trial, sandbox or pilot access we provide under these online terms are for demonstration, testing and evaluation only unless we agree otherwise in writing.

  • Demo features may change, be limited or be withdrawn at any time.
  • Barcode-to-product lookup in the demo app may rely on publicly available product data and may be incomplete, unavailable or inaccurate.
  • You should not rely on the demo app or evaluation outputs for production, safety-critical, regulatory or high-value purchasing decisions.

4. Commercial deployments

Production use of Cognilist will normally be governed by a separate written commercial agreement. Unless and until such an agreement is in place, Cognilist may decline or limit production use.

If you integrate Cognilist into a retailer app, website, self-scanning device, smart cart or similar shopper-facing experience, you are responsible for your own service, product catalogue, shopper communications, notices, permissions and legal compliance. You must ensure that you have all rights and permissions needed to send data to Cognilist and to use the resulting outputs.

5. Acceptable use

You must not, and must not allow others to:

  • use Cognilist in any unlawful, deceptive, infringing or harmful way;
  • attempt to gain unauthorised access to Cognilist systems, accounts, infrastructure or related networks;
  • probe, scan or test vulnerabilities except with our express written permission;
  • interfere with or disrupt the service, including by introducing malware, abusive traffic or denial-of-service activity;
  • reverse engineer, decompile, disassemble, copy or create derivative works from Cognilist except where applicable law prohibits that restriction;
  • use Cognilist to build or train a competing product through scraping, automated extraction or systematic output harvesting;
  • submit data that you do not have the right to use, disclose or process;
  • send special-category, highly sensitive or regulated data to Cognilist unless we have expressly agreed in writing that the relevant use case is supported.

6. Inputs, outputs and customer responsibility

You retain ownership of the data, text, images, product information, shopping-list items and other materials you submit to Cognilist ("Inputs"). You grant Cognilist a limited right to host, transmit, process and otherwise use Inputs only as needed to provide, secure, maintain and support the relevant service.

Cognilist may generate matches, extracted list items, structured data or other results based on your Inputs ("Outputs"). Outputs are generated by automated systems and may be incorrect, incomplete or unsuitable for your use case. You are responsible for reviewing Outputs and for any business, shopper or operational decisions made using them.

As described on our website and in our Privacy Policy, core service input data sent to the Cognilist matching service is processed only to generate the requested response and is then immediately discarded. Cognilist does not use that customer data for model training.

7. Intellectual property and feedback

Cognilist and its licensors retain all rights, title and interest in the website, demo app, APIs, software, models, documentation, branding and related intellectual property, excluding your Inputs and any third-party materials.

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the website, demo app and any evaluation access we provide for your internal business evaluation and lawful use of Cognilist.

If you provide suggestions, ideas, corrections or other feedback about Cognilist, we may use that feedback without restriction or obligation to you.

8. Third-party services and data

Cognilist may rely on third-party hosting, infrastructure, app-store distribution or publicly available product data. Third-party services and content are subject to their own terms and availability, and Cognilist is not responsible for them.

9. Availability, security and changes

We may modify, suspend or discontinue any part of Cognilist at any time. We may also apply technical, operational or security limits, including rate limits and usage restrictions, where reasonably necessary.

We use reasonable measures designed to secure Cognilist, but no service is completely secure or continuously available. Service levels, support commitments and uptime obligations apply only if expressly set out in a separate written agreement.

10. Fees

The website and demo app are currently offered free of charge for evaluation unless we agree otherwise in writing. Any paid pilot, subscription, support arrangement or other commercial engagement will be governed by the pricing and payment terms in the applicable written agreement or order form.

11. Warranties disclaimer

To the fullest extent permitted by law, Cognilist is provided "as is" and "as available" under these online terms. We disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement and that the service will be uninterrupted, error-free, accurate or secure.

In particular, we do not guarantee that any product match, barcode lookup, shopping-list extraction or personalization output will be correct, complete or suitable for your requirements.

12. Limitation of liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

Subject to the paragraph above, Cognilist will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or anticipated savings arising out of or in connection with Cognilist or these terms.

13. Suspension and termination

You may stop using Cognilist at any time. We may suspend or terminate your access immediately if we reasonably believe that you have breached these terms, created a security or legal risk, or if we discontinue the relevant service or evaluation environment.

Sections that by their nature should survive termination, including those relating to intellectual property, disclaimers, liability limits and governing law, will survive.

14. Governing law and disputes

These terms and any non-contractual disputes or claims arising out of or in connection with them are governed by the laws of Scotland. The courts of Scotland will have exclusive jurisdiction, except where mandatory law requires otherwise or a separate written agreement says otherwise.

15. Changes and contact

We may update these Terms of Service from time to time. When we do, we will post the updated version on this page and revise the "Last updated" date. By continuing to use Cognilist after an updated version becomes effective, you agree to the revised terms.
